Terms of service and website use
Draft, pending legal review · Version 1 · Effective [effective date]
1. About these terms
These terms apply when you use arvace.com and when you buy services from [Legal name] ("Arvace", "we"). For a project, your accepted quote sets the scope, price and timeline; these terms cover everything else. If the quote and these terms differ, the quote wins for that project.
2. Using the website
- You may use the site and its free tools for your own business purposes. Don't misuse them: no attempts to break security, overload the site or scrape it at scale.
- Demos on the site run on sample or synthetic data. They show what we can build, not real client results.
- Lab tools give planning estimates. Review results with an expert before committing to a building, a lease, an order or any other significant decision. Each result shows the assumptions and engine version used.
- The website assistant is an AI. It can make mistakes; anything it says about prices or timelines is confirmed only in a written quote.
- The site's content, design and code belong to Arvace. You may share links, not copy the site.
3. Quotes and how a project starts
- We send a written quote with a fixed price, scope, timeline and payment schedule. It is valid for the period stated on it, normally 14 days.
- You accept by signing or by typing your full name on the quote. Acceptance creates a contract between your business and Arvace on the quote and these terms.
- Work starts within 5 working days of receiving the deposit.
4. Doing the work together
- We give you a written update every week and ask for approvals at the milestones in the quote.
- You give us the access, information and decisions listed in the quote on time. If an approval or input arrives late, the timeline moves by the same amount.
- Changes: anything outside the quote is a change request. We send the cost and time impact within 2 working days; nothing changes until you accept it in writing. Extra work is priced at our day rate.
5. Payment
- You pay according to the schedule in the quote. Deposit invoices are due within 7 days, other invoices within 14 days, by bank transfer to the account on the invoice (card and online payment when available).
- Prices exclude VAT, which is added where it applies.
- If an invoice is 14 or more days overdue, we may pause work after giving you written notice. The timeline moves by the length of the pause.
- Retainers are paid monthly in advance, have a 3-month minimum, and unused hours do not roll over.
6. Who owns what
- When all invoices for a project are paid in full, you own the deliverables we created specifically for you.
- We keep ownership of our own tools, templates, know-how and reusable components that existed before the project or were not made only for you, and you receive a permanent licence to use them as part of the deliverables.
- Third-party software and services (for example Power BI, Microsoft 365, cloud hosting or AI services) are used under their own licences, usually in your name and at your cost.
- We will not name you or show your work publicly without your written approval.
7. Confidentiality and data
We keep your business information confidential and use it only for your project. When we process personal data on your behalf, we do so under our data processing agreement and only on your instructions. Our privacy policy explains how we handle personal data as a controller.
8. Warranty
For 30 days after delivery, we fix any defect in what we built, at no charge. A defect means it doesn't work as agreed in the quote. New features, changes to your systems or third-party services, and misuse are not defects.
9. AI-based work
Some deliverables use AI models, which can produce wrong or unexpected answers. We design them with guardrails and testing, and you remain responsible for reviewing their output before relying on it for important decisions.
10. Liability
- Our total liability for any project is limited to the fees you paid for that project in the 12 months before the claim.
- Neither of us is liable for indirect losses such as lost profit, lost revenue or lost data that could have been backed up.
- Nothing in these terms limits liability that the law does not allow us to limit.
11. Ending a project
Either of us may end a project with written notice if the other seriously breaks these terms and doesn't fix it within 14 days. You may also end a project for convenience with written notice; you then pay for work done up to that date, and ownership follows section 6 for what has been paid.
12. Training
Company training bookings pay 50% to confirm the date. Public cohort seats are confirmed when paid. Cancellations and refunds follow our refund policy.
13. Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. We will first try to resolve any dispute in good faith by talking; if that fails, the courts of [state] have jurisdiction.
14. Changes to these terms
We may update these terms. The version that applies to a project is the one in force when you accepted its quote. Previous versions stay available at arvace.com/terms/v[n].
